MERGER MONDAY story card

CesiumAstro Inc. closed a $730 million Series D round at a valuation above $4.5 billion and unveiled plans for Synchronicity, a 737-satellite constellation, after a successful Element-1 demonstration flight in October.

Janus Henderson Investors led the equity round. Insight Partners, Sands Capital, Sumitomo Corporation of Americas, Woven by Toyota, Incharge Capital, Magnetar Capital, Alumni Ventures and NewSpace Capital were among the participants. Separately, the Export-Import Bank of the United States and JPMorgan provided about $100 million of debt, bringing capital the Austin company has announced in 2026 to more than $1.2 billion.

From payload maker to constellation

CesiumAstro has sold phased-array communications payloads to other satellite operators. Synchronicity marks a shift toward owning orbital infrastructure. The company said Element-1, which reached orbit in October 2026, fully met its test objectives and cleared the way for the larger network.

On the ground, CesiumAstro plans to invest $500 million over five years in roughly 270,000 square feet of manufacturing and office space in Austin and to add about 550 jobs. It has also been buying technology through acquisitions of Jariet Technologies, 1Aardvark and Vidrovr.

Crowded sky, deep pockets

Satellite broadband and defense communications remain capital-intensive businesses where scale and spectrum access matter. Raising more than $800 million of equity and debt in a single package gives CesiumAstro room to order launches and build factories before rivals lock up the same suppliers.

Whether Synchronicity fills as planned will depend on customer contracts and launch cadence. For investors, the round is another bet that privately funded space hardware companies can graduate from component suppliers to network operators.
